Terms of Service

By accessing or using the Ubikon Technologies website (ubikon.in) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use our services. We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.

Ubikon Technologies ("Ubikon", "we", "us", "our") provides software engineering services including but not limited to: mobile application development, web application development, AI/ML system development, SaaS platform development, UI/UX design, DevOps engineering, and dedicated developer staffing.

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work ("SOW") or Project Agreement signed by both parties. These Terms govern the general relationship; the SOW governs the specific project.

Payment terms are specified in the applicable SOW. Default terms are: 40% upfront upon contract signing, 40% at mid-project milestone, and 20% upon final delivery and acceptance.

All invoices are due within 14 days of issuance unless otherwise agreed. Late payments accrue interest at 1.5% per month. We reserve the right to pause work on accounts with invoices overdue by more than 30 days.

All prices are quoted in USD unless otherwise specified. You are responsible for any applicable taxes, withholding, or duties in your jurisdiction.

Upon receipt of full payment for a project, Ubikon assigns all intellectual property rights in the custom-developed deliverables to you, the client. This includes source code, designs, documentation, and any other work product created specifically for your project.

You grant Ubikon a limited, non-exclusive license to display the project name, logo, and general description in our portfolio and marketing materials, unless you explicitly request otherwise in writing before the project commences.

Third-party components, open-source libraries, and pre-existing Ubikon frameworks used in your project remain subject to their respective licenses. We will disclose the use of any open-source components that carry significant licensing obligations (e.g., GPL).

Both parties agree to keep confidential any non-public information received from the other party in connection with a project ("Confidential Information"). This obligation survives termination of the engagement for a period of 3 years.

Confidential Information does not include information that: (a) was already known to the receiving party; (b) becomes publicly available through no fault of the receiving party; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law.

We are happy to sign your NDA or provide our standard NDA before any sensitive project information is shared.

Ubikon warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We warrant that deliverables will materially conform to the agreed specifications for 90 days after final delivery (the "Warranty Period"). During this period, we will correct defects at no additional charge.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UBIKON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

Our total aggregate liability arising out of or relating to these Terms or any SOW shall not exceed the total fees paid by you to Ubikon in the 12 months preceding the claim.

Either party may terminate a project engagement with 30 days written notice. Upon termination: (a) you will pay for all work completed up to the termination date at the agreed rates; (b) Ubikon will deliver all completed work product; (c) any amounts already paid for undelivered milestones will be refunded on a pro-rata basis.

Ubikon may terminate immediately if: (a) you materially breach these Terms and fail to cure within 10 days of notice; (b) you become insolvent or file for bankruptcy; (c) you engage in illegal activity.

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration under the rules of the Arbitration and Conciliation Act, 1996, with Indore, Madhya Pradesh as the seat of arbitration.

Your use of our website is subject to the following conditions: (a) you will not use the site in any way that violates applicable laws; (b) you will not attempt to gain unauthorised access to any systems or networks; (c) you will not scrape, crawl, or index the site without our prior written consent.

Our free AI tools (App Cost Calculator, Startup Validator, SEO Analyzer, Business Name Generator, Tech Stack Advisor) are provided "as is" for informational purposes. Results are estimates and should not be relied upon as professional advice.
