Terms of Service

By accessing or using the Ubikon Technologies website (ubikon.in) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use our services. We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. Material changes will be notified by email at least 14 days before taking effect.

Ubikon Technologies Pvt Ltd ("Ubikon", "we", "us", "our") provides software engineering services including but not limited to: mobile application development (iOS and Android), web application and SaaS platform development, AI/ML system development, UI/UX design, DevOps engineering, dedicated developer staffing, and digital marketing technology.

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work ("SOW") or Project Agreement signed by both parties. These Terms govern the general relationship; the SOW governs the specific project.

Payment terms are specified in the applicable SOW. Default terms are: 40% upfront upon contract signing, 40% at mid-project milestone, and 20% upon final delivery and client acceptance.

All invoices are due within 14 days of issuance unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month (18% per annum). We reserve the right to pause work on accounts with invoices overdue by more than 30 days.

All prices are quoted in INR or USD as specified in the SOW. You are responsible for any applicable taxes (including GST/TDS), withholding, or duties in your jurisdiction. Ubikon will issue GST-compliant invoices for all services delivered within India.

Upon receipt of full payment for a project, Ubikon assigns all intellectual property rights in the custom-developed deliverables to you, the client. This includes source code, designs, documentation, and any other work product created specifically for your project.

You grant Ubikon a limited, non-exclusive, royalty-free license to display the project name, logo, and general description in our portfolio and marketing materials, unless you explicitly request otherwise in writing before the project commences.

Third-party components, open-source libraries, and pre-existing Ubikon frameworks used in your project remain subject to their respective licenses. We will disclose the use of any open-source components that carry significant licensing obligations (e.g., GPL, AGPL) before they are incorporated.

Both parties agree to keep confidential any non-public information received from the other party in connection with a project ("Confidential Information"). This obligation survives termination of the engagement for 3 years.

Confidential Information does not include information that: (a) was already known; (b) becomes publicly available through no fault of the receiving party; (c) is independently developed; or (d) is required to be disclosed by law.

Personal data shared with us is processed in accordance with our Privacy Policy (ubikon.in/privacy) and India's Digital Personal Data Protection Act 2023. We are happy to sign your NDA or provide our standard NDA before any sensitive information is shared.

Ubikon warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We warrant that deliverables will materially conform to the agreed specifications for 90 days after final delivery (the "Warranty Period"). During this period, we will correct defects at no additional charge.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UBIKON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF UBIKON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability arising out of or relating to these Terms or any SOW shall not exceed the total fees paid by you to Ubikon in the 12 months preceding the claim.

Either party may terminate a project engagement with 30 days written notice. Upon termination: (a) you will pay for all work completed up to the termination date at the agreed rates; (b) Ubikon will deliver all completed work product; (c) amounts already paid for undelivered milestones will be refunded on a pro-rata basis.

Ubikon may terminate immediately if: (a) you materially breach these Terms and fail to cure within 10 days of notice; (b) you become insolvent or file for bankruptcy; or (c) you engage in illegal activity using our services.

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall first be submitted to good-faith mediation. If mediation fails within 30 days, disputes shall be resolved by binding arbitration under the rules of the Arbitration and Conciliation Act, 1996, with Indore, Madhya Pradesh as the seat of arbitration and English as the language of proceedings.

Your use of our website is subject to the following conditions: (a) you will not use the site in any way that violates applicable law; (b) you will not attempt to gain unauthorised access to any systems or networks; (c) you will not scrape, crawl, or index the site without our prior written consent.

Our free AI tools (App Cost Calculator, Startup Validator, AI Proposal Generator, Tech Stack Advisor, etc.) are provided "as is" for informational purposes. Results are estimates generated by AI models and should not be relied upon as professional legal, financial, or technical advice. Ubikon accepts no liability for decisions made based on AI tool outputs.

By using this website or our services, you acknowledge that Ubikon Technologies Pvt Ltd will process your personal data as described in our Privacy Policy (ubikon.in/privacy) under India's Digital Personal Data Protection Act 2023.

You have the right to withdraw consent, access your data, request correction or deletion, and raise grievances at any time by contacting grievance@ubikon.in. Withdrawal of consent does not affect the lawfulness of processing that occurred before withdrawal.
